terms of service.

this is the agreement between you and tired events, inc. — the company behind tiredevents.com, tired.events, and tiredapi.co. it's written in plain language on purpose.

1. who we are

tired events, inc. is a delaware c-corp with its principal place of business at 68 jay street, brooklyn, ny 11201. we operate three surfaces: tired.events (ticket buyers), tiredevents.com (organizers), and tiredapi.co (developers).

2. what this agreement covers

by creating an account, buying a ticket, listing an event, or calling our api, you agree to these terms, our privacy policy, and — if you list events — our organizer agreement. there are no other secret contracts. if we need to add a rider for enterprise customers, it's called an "order form" and you'll sign it explicitly.

3. accounts

you need to be 18 or older to create an organizer account. 13 or older to buy a ticket with a guardian's permission. you're responsible for everything that happens under your account — keep the password somewhere reasonable.

4. how we charge you

this is the most-asked question, so we'll state it here: we charge organizers zero percent. we charge ticket buyers a 6% + $0.50 fee, itemised at checkout, capped at $12 per ticket. we charge 1% on instant payouts if you use them. these rates are also in the pricing page. if we ever change them, current customers get 60 days' notice and may migrate or leave without penalty.

5. what you're buying / selling

buyers: a ticket is a revocable license to attend the event described on the order. the organizer is the party responsible for the event. we process the payment and issue the ticket on their behalf.

organizers: you're the merchant of record. you're responsible for the event happening, for any licensing, for any taxes we aren't registered to collect, and for the content on your event page. we're the ticketing platform, not the promoter.

6. refunds & cancellations

if you cancel an event, all buyers get automatic refunds — including our fees. if you reschedule, buyers can keep the ticket or refund it. if a buyer requests a refund, your refund policy applies (chosen in the wizard). we don't pocket fees on refunds. details: refund policy.

7. prohibited stuff

you can't use tired to sell tickets to: illegal events, events designed to facilitate violence or harassment, anything involving the exploitation of minors, counterfeit events ("ghost listings"), or resale at markups that violate the event's rules. we'll cancel the listing and refund the buyers. full details: acceptable use.

8. your data

we store your attendee list for you. we don't sell it, rent it, or email it on our behalf. you can export it any time. if you close your account, we delete your data within 30 days unless you ask us to do it immediately. see privacy policy.

9. intellectual property

your content is yours. our platform is ours. you grant us a limited license to display your event content where you publish it. we grant you the right to use our scanner app and dashboard for your business. nothing here transfers trademark ownership.

10. chargebacks

if a buyer files a chargeback and the bank sides with them, the $15 chargeback cost is passed to you. we'll help you dispute fraudulent ones with evidence from our scanner data. if it's a "friendly fraud" case and you win, we refund the $15. we keep our receipts.

11. uptime & service level

we target 99.95% uptime on checkout (six-month rolling). we run status publicly at tiredapi.co/status. if we miss our target for a given month, you're entitled to service credits — ping support.

12. disclaimers

short version: we provide the platform "as is". we don't guarantee your event will sell, be profitable, or go smoothly. we're not liable for weather, acts of god, or the headliner's tuesday. long version, and we're sorry about this:

the services are provided on an "as is" and "as available" basis. except as expressly provided in these terms and to the fullest extent permitted by applicable law, tired events, inc. disclaims all warranties of any kind, whether express, implied, statutory or otherwise.

13. limitation of liability

our aggregate liability is capped at the greater of (a) $500 or (b) the amounts paid by you to tired events in the twelve months prior to the claim. this does not limit liability for fraud, gross negligence, or violations of law we're responsible for.

14. termination

you can close your account any time from settings. we can terminate for violation of these terms, but we'll give you 14 days' notice unless the violation is egregious (fraud, threats, payment failure in bad faith). on termination, we honor existing ticket sales and issue your final payout per schedule.

15. governing law & disputes

these terms are governed by new york law. disputes go to the state or federal courts in kings county, new york. if you prefer arbitration, we're open to it — we don't require it, and we don't put anti-class-action language here.

16. changes to these terms

we'll email all active accounts when we materially change these terms, with at least 30 days' lead time. the changelog sits at /legal/changelog so you can see every diff.
